Marketplace Terms

These Marketplace Terms govern creator uploads, listings, purchases, buyer licences, revenue share, refunds, chargebacks, takedowns, and copyright disputes. They supplement the Terms of Service, Creator Agreement, Refund Policy, Copyright and DMCA Policy, and Acceptable Use Policy.
Definitions
"Marketplace" means any TalesNTokens feature that allows users to list, sell, buy, download, unlock, licence, or otherwise obtain Digital Content.
"Creator" means a user approved to upload, list, sell, or distribute Digital Content.
"Buyer" means a user who obtains Digital Content through the Marketplace.
"Asset" means any map, token, image, pack, template, character sheet, brush, texture, module, or other Digital Content.
"Listing" means a Marketplace page or offer for an Asset.
"Net Revenue" means amounts actually received by TalesNTokens for a sale after taxes, payment processing fees, platform refunds, chargebacks, dispute fees, currency conversion, and amounts required by law.
Scope
These Terms apply to all Marketplace activity, including free assets, paid assets, promotional codes, creator uploads, purchaser downloads, licence grants, refunds, chargebacks, takedowns, and disputes.
Creator Ownership
Creators retain ownership of their original Assets. TalesNTokens does not claim ownership of creator-created content.
By uploading or listing an Asset, the Creator grants TalesNTokens a limited, worldwide, non-exclusive, royalty-free licence solely to:
- host the Asset;
- display the Asset and listing;
- process the Asset for previews, search, checkout, fulfilment, moderation, support, and security;
- create backups;
- deliver or share the Asset within Marketplace and platform functionality;
- preserve evidence for disputes, takedowns, chargebacks, and legal compliance.
This licence ends when the Asset is removed, except for backups, buyer licence fulfilment, legal compliance, refunds, disputes, security, and recordkeeping.
Buyer Licence Rights
When a Buyer obtains an Asset, the Buyer receives only the licence stated in the listing and purchase confirmation. Ownership does not transfer to the Buyer unless a separate written agreement expressly says so.
Unless a listing says otherwise, Marketplace purchases are non-exclusive, non-transferable, revocable only as stated in these Terms, and limited to the selected licence category.

If a listing conflicts with these default categories, the more specific listing terms control, unless they violate law or platform policy.
Personal Usage Rights
Personal use includes private tabletop play, personal map editing, private room sharing, personal backups, and screenshots or short clips that do not redistribute the underlying files.
Commercial Usage Rights
Commercial use is allowed only where the listing includes a Commercial Play Licence, Commercial Product Licence, or Custom Licence. Buyers must not imply creator endorsement unless expressly permitted.
Redistribution Restrictions
Buyers must not:
- resell, sublicense, share, upload, publish, or distribute Assets as standalone files;
- include Assets in competing asset packs or marketplaces;
- extract Assets from rooms, exports, videos, modules, or products for reuse by others;
- remove attribution, watermarking, licence metadata, or ownership notices where present;
- use Assets to train generative AI models unless the listing expressly permits it;
- use Assets in unlawful, hateful, pornographic, exploitative, or harmful contexts.
Revenue Sharing
Unless a creator dashboard, written agreement, or promotional programme states a different rate, the default revenue share is:
- 70% of Net Revenue to the Creator;
- 30% of Net Revenue to TalesNTokens.
Payouts are subject to identity, tax, sanctions, fraud, and payment-provider checks. TalesNTokens may hold payouts for refund windows, chargeback risk, fraud review, rights disputes, policy violations, or legal compliance.
Chargebacks
If a Buyer initiates a chargeback or payment dispute:
- TalesNTokens may suspend access to the disputed Asset;
- the Creator's revenue share for that transaction may be reversed or withheld;
- dispute fees and unrecoverable amounts may be deducted from current or future payouts where lawful;
- repeated chargebacks may lead to Buyer or Creator account restrictions.
Refund Handling
Refunds are governed by the Refund Policy. Refunds may reduce Creator Net Revenue and future payouts. Buyers who receive a refund may lose access to the refunded Asset unless law requires otherwise.
Takedown Procedures
TalesNTokens may remove, disable, delist, quarantine, or restrict Assets that:
- infringe copyright or other rights;
- violate the Acceptable Use Policy;
- contain malware or hidden payloads;
- mislead buyers;
- are materially defective;
- breach licence promises;
- are subject to legal, payment, or safety concerns.
Copyright takedowns follow the Copyright and DMCA Policy.
Copyright Disputes
Creators must own or have rights to all Assets they list. Rights holders may submit notices under the Copyright and DMCA Policy. Creators may submit counter-notices or appeals where permitted. TalesNTokens may withhold payouts while a rights dispute is pending.
Marketplace Scams And Fraud
Prohibited marketplace conduct includes fake listings, stolen assets, misleading previews, undisclosed AI-generated content where disclosure is required, refund abuse, review manipulation, chargeback abuse, impersonation, phishing, off-platform payment fraud, and selling access to pirated content.
User Obligations
Buyers must comply with licence terms, payment rules, and platform policies. Creators must comply with the Creator Agreement, maintain accurate listings, provide lawful Assets, and respond to support, refund, and rights disputes.
Platform Obligations
TalesNTokens will provide reasonable Marketplace infrastructure, display licence terms, process payments through Stripe, enforce takedown rules, handle refunds and disputes, and provide reporting and appeals procedures.

Enforcement Procedures
TalesNTokens may warn users, edit or remove listings, suspend sales, disable downloads, withhold payouts, issue refunds, reverse revenue share, suspend accounts, terminate creator access, preserve records, or refer matters to payment providers or authorities.
Appeals Process
Creators and Buyers may appeal Marketplace enforcement decisions within 30 days by contacting appeals@talesntokens.com. Appeals should include listing ID, transaction ID, account email, the decision challenged, and supporting evidence.
